How do you register a private limited company in Pakistan?
Incorporation is completed online through SECP's eServices portal. The main steps are name reservation, submission of the memorandum and articles of association with director and subscriber details, payment of the fee and issue of the certificate of incorporation. Foreign shareholders and certain business objects need additional security clearance or approvals.
After incorporation the company must register for income tax (NTN), open a bank account and, depending on its activities, register for federal or provincial sales tax. We handle each step and coordinate documents with your bank.
Which SECP filings must a company make every year?
Recurring obligations include holding the annual general meeting, filing the annual return, submitting audited financial statements, and notifying changes in directors, registered office, auditors or share capital within the prescribed time. Late filings attract penalties that grow with each day of delay.
- Annual return after the AGM
- Audited financial statements
- Changes in directors and officers
- Allotment and transfer of shares
- Beneficial ownership declarations
- Change of registered address
Can you help foreign investors set up in Pakistan?
Yes. We advise foreign companies on entry structure (subsidiary, branch or liaison office), coordinate registration with SECP and the Board of Investment, and set up tax registrations and accounting from the first month.
